1. About HoldKey

HoldKey is an AI-powered property management platform operated by Polsia Inc. (ABN 92 105 730 094). We provide Australian landlords with automated tenant communications, maintenance coordination, rent reminders, lease management, and compliance tracking services.

By registering for and using HoldKey, you agree to these Terms of Service. If you do not agree, do not use the platform.

2. Your Account & Responsibilities

You are responsible for:

  • Providing accurate and complete account information, and keeping it up to date
  • Maintaining the security of your login credentials
  • Ensuring all property data entered into HoldKey is lawful, accurate, and authorised by you
  • Complying with all applicable Australian tenancy laws, including NSW Tenancy Act 2010 or your relevant state/territory legislation
  • Obtaining necessary consents and permissions before entering tenant information into the platform
  • Reviewing and approving AI-generated messages before they are sent (where you have elected to review mode)

You must be at least 18 years of age and have the legal authority to manage the properties you add to HoldKey.

3. First Property Free Trial

New landlords receive their first property managed free for two months. The trial terms are:

  • Trial applies to your first property only (additional properties billed at $45/property/month)
  • Trial period is 2 calendar months from account activation
  • No credit card required to start the trial
  • Full access to all HoldKey features during the trial period
  • Automatic billing commences at the end of the trial unless you cancel
  • Cancel anytime before trial ends to avoid charges — no penalties

HoldKey reserves the right to withdraw trial eligibility if fraud or abuse is detected. One trial per landlord account.

4. Subscription Terms

After the trial (or for landlords who skip the trial), HoldKey is priced at:

  • $45 AUD per property per month, billed monthly in advance
  • One property managed free for 2 months (trial)
  • Additional properties billed at $45/month each
  • Cancel anytime via your account settings — no cancellation fees
  • Prorated refunds not available for partial-month cancellations
  • Payment processed securely via Stripe

Billing cycle: Subscriptions renew on the same date each month. If you add a property mid-cycle, the first partial month is charged on a prorated basis.

Failed payments: If a payment fails, we will retry within 3 business days. If payment remains unsuccessful after 7 days, your account will be suspended. Reactivation requires a successful payment.

Price changes: We will notify you by email at least 30 days before any price change takes effect. You may cancel before the new price applies.

5. AI Recommendations & Disclaimers

HoldKey's AI generates suggestions for landlord approval. These are recommendations only — they do not constitute legal, financial, or professional advice. HoldKey is not a law firm or licensed property manager.

HoldKey's AI features:

  • Draft tenant messages (rent reminders, maintenance responses, lease communications)
  • Suggest rent amounts based on market comparables (for reference only)
  • Recommend maintenance prioritisation and tradesperson contacts
  • Flag compliance deadlines and renewal windows

You are solely responsible for reviewing AI-generated content and making your own decisions. HoldKey recommends that landlords consult a licensed property manager or legal professional for complex situations, including but not limited to:

  • Termination notices and formal eviction processes
  • Rent increase notices (beyond suggested market ranges)
  • Disputes where NCAT (NSW Civil and Administrative Tribunal) proceedings may be required
  • Bond claims and repayment determinations

6. Acceptable Use

You must not use HoldKey to:

  • Send unlawful, defamatory, harassing, or discriminatory content to tenants or third parties
  • Enter tenant data you do not have the legal right to collect and manage
  • Use the platform for any purpose that violates Australian federal or state/territory law
  • Attempt to gain unauthorised access to HoldKey or any third-party systems
  • Resell, sublicense, or commercially exploit HoldKey's services without written permission
  • Upload malicious code, viruses, or harmful content to the platform

Violations may result in immediate account suspension without refund.

7. Suspension & Termination

By you:

You may cancel your HoldKey account at any time via your account settings or by emailing holdkey@polsia.app. Cancellation takes effect at the end of your current billing period.

By HoldKey:

We may suspend or terminate your account if:

  • You breach these Terms of Service
  • Payment is not received within 14 days of the due date
  • We suspect fraudulent activity or misuse of the platform
  • Required by law or regulatory authority

Account termination does not entitle you to a refund for the current billing period.

Data after termination:

Upon account termination, your property and tenant data is retained for 90 days, after which it is deleted in accordance with our Privacy Policy. Financial records are retained as required by Australian tax law.

8. Limitation of Liability

HoldKey is provided "as is" and "as available." To the maximum extent permitted by law:

  • No warranty is provided regarding the accuracy, completeness, or timeliness of AI-generated content
  • HoldKey is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform
  • HoldKey is not liable for actions taken by you or your tenants based on AI-generated recommendations
  • Our total liability for any claim arising from your use of HoldKey is limited to the fees you paid us in the 12 months preceding the claim
  • Nothing in these terms excludes or limits your rights under the Australian Consumer Law (ACL), including statutory guarantees under the Competition and Consumer Act 2010 (Cth)

These limitations apply where the loss was not reasonably foreseeable and was not caused by our wilful misconduct or gross negligence.

9. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our services, pricing, or legal requirements. When we make material changes:

  • We will notify you by email at least 14 days before the changes take effect
  • Continued use of HoldKey after the change date constitutes acceptance of the new terms
  • You may cancel your account before the new terms take effect without penalty

Non-material changes (e.g., correcting typographical errors) may be made without notice.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of NSW and, where applicable, the Federal Court of Australia.

If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect.
